Terms of Service & 99.99% Availability SLA
Enterprise SaaS terms of service, ownership warranties, permitted use and 99.99% availability SLA.
1. Scope of Agreement & Parties
These Enterprise Terms of Service ('Agreement') constitute a legally binding contract between ARYA AI TECHNOLOGY LTD, registered in England and Wales under Company No. 17372232 ('Company', 'we'), and the entity or enterprise accepting this Agreement ('Customer').
By accessing or utilizing the Cyber Security House platform, console, collectors, or APIs, Customer agrees to be bound by all provisions herein.
2. Ownership Warranty & Scoped Scanning Authority
Customer explicitly warrants that it possesses legal ownership, administrative authority, or written authorization for every domain, IP address range, web service, EV charging station, or OT network registered in the platform.
Autonomous vulnerability scanning and active security assessments through CSH Scan require cryptographic scope attestation (DNS TXT record or verified HTTP token challenge). Scanning third-party infrastructure without verifiable authority is strictly prohibited and constitutes grounds for immediate tenancy termination.
3. Safety-Critical Guardrails & Prohibited Use
Cyber Security House provides read-only telemetry, anomaly detection, and human-governed incident workflows. Customer acknowledges and agrees to the following operational guardrails:
EV Charging Guardrail (EV-SAFE-001): The platform monitors read-only OCPP 1.6J/2.0.1 logs and ISO 15118 certificate lifecycles. Customer shall not attempt to send remote power interruption, contactor actuation, or vehicle control commands.Operational Technology Guardrail (OT-SAFETY-001): Industrial SCADA and medical device (IoMT) monitoring operates strictly via passive SPAN/TAP network mirrors. Active port scanning, packet injection, and autonomous actuator intervention on live production PLC networks are prohibited by software controls.Human-in-the-Loop Requirement: Destructive containment actions (such as firewall IP blocks, user identity revocation, and server isolation) require explicit two-person human approval and cannot be executed fully autonomously by AI agents.4. 99.99% Availability Service Level Agreement (SLA)
Company provides a 99.99% monthly availability SLA for the Sovereign Core API and Ingestion Pipeline across all supported regions.
If monthly availability drops below 99.99%, Customer is eligible for service credits applied against subsequent monthly invoices: 10% credit for <99.99%, 25% credit for <99.5%, and 50% credit for <99.0%. Scheduled maintenance windows announced at least five business days in advance are excluded from downtime calculations.
5. Post-Quantum Cryptography & Intellectual Property
All detection engines, Sigma rule compilations, ARYA SAI reasoning models, software collectors, and proprietary algorithms remain the exclusive intellectual property of ARYA AI TECHNOLOGY LTD (Company No. 17372232). Customer retains all right, title, and interest in and to its own telemetry, logs, and business data.
The platform includes post-quantum cryptographic readiness features aligned with UK NCSC 2028/2031/2035 migration timetables. Cryptographic asset inventories (CBOM) and key rotation schedules are provided for compliance tracking.
6. Fees, Metering & Payment Terms
Platform subscriptions are billed on an annual or monthly basis in GBP (£), EUR (€), or USD ($) as specified in the applicable Order Form. Invoices are payable within 30 days of receipt (Net 30). Uncontested overdue balances accrue interest at 2% per annum above the Bank of England base rate.
7. Governing Law & Exclusive Jurisdiction
This Agreement and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of England and Wales.
The parties irrevocably agree that the courts of London, England shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.
